Startup Counsel (Part-Time / Remote)
Our client is seeking a talented and motivated corporate attorney with 3+ years of relevant experience to join their fully remote team on a part-time basis (approximately 20 hours per week). They are a Boston-area boutique law firm specializing in supporting entrepreneurs and emerging businesses from start-up to exit. Responsibilities Include:
• Assisting with entity formation and structuring (LLCs,C-Corps, etc.)
• Drafting and negotiating a variety of commercial agreements, including NDAs, MSAs, SOWs, and licensing agreements
• Supporting financing transactions (SAFEs, convertible notes, equity, and debt), including document drafting, communications and transaction management
• Drafting governance documents and managing cap tables and option plans
• Assisting with due diligence and document preparation in M&A transactions
• Providing practical legal advice to clients and serving asa general legal resource
• Contributing to internal process improvements and best practice development
Technology and Operational Support:
• Participating in team meetings focused on improving operations and identifying best practices
• Helping evaluate and implement new technologies to improve transaction efficiency and client support
• Drafting, updating, and maintaining form documents and standardizing processes for specific services
• Organizing client documents and improving folder and file structures
• Documenting internal workflows and operational processes to enhance service delivery
Position Details:
• Title: Associate
• Hours: Approximately 20 billable hours per week, with some additional time for non-billable work. Schedule is flexible.
September Start
• Compensation: Hourly or salary-based compensation with incentives for exceeding billable hour targets and originating new work.
• Benefits: Includes 401(k) with profit sharing (if eligible), CLE support, and unlimited PTO for salaried attorneys.
• Location: Remote. Candidates located in the Boston areaare preferred for occasional in-person collaboration, but other locations will be considered.
